Written by Sole Trader James Vine t/a Limited Edition Design. We/I/My may be used as well as James Vine/Limited Edition Design.

Whilst all reasonable efforts have been made to ensure the accuracy of content, no responsibility can be taken for any error or omission on this site, although the below text is routinely read and updated. Should it be updated, I will add a revised date to the top of this page.

By using my services, you adhere fully to these Terms and Conditions. They are meant to function as clean and clear roles and rules to maximise the efficiency of how we both work and who is responsible for what. I know the service I provide is of a high level and I want to maintain the positive word of mouth and my good reputation.

A polite reminder that James Vine/Limited Edition Design is only a Sole Trader and time is limited, leave or breaks a necessity, or illness or existing illness may pose an issue. If your project is imperative or necessary to the functioning of your life and/or business, then James Vine/Limited Edition Design or a shared hosting service we may offer should not be considered, even if our charges are much less and skillset outweighs that of larger design or development organisations. A more robust solution or larger design or development organisation is advised. I am more than happy to help work on designs such as logos, branding or other designs (including flat proofs of your website), but websites, security, the internet and Hosting is an ever-changing landscape and should be treated with due diligence.

BILLING FOR UNIVERSITY OF EXETER ONLY: Going forward and as of January 2023, we can no longer process invoices on behalf of Freelancers/Third-Party suppliers via the University of Exeter billing system. As we are separate entities we must now charge for our own portion of work. Read our existing Freelancer and Third-Party sections below for more information/existing Terms and Conditions.

Your Privacy

James Vine/Limited Edition Design takes your privacy seriously and committed to preserving the privacy of all visitors to our website and use our services. Any information you provide is solely to enable us to process your enquiry and provide a high level of service.

By registering or inputting your details on this website, you consent to the collection, use and transfer of your information.

Information that we collect from you

Data Protection for Projects we undertake: We occasionally collect client’s data during the process of carrying out a project. This data will not be shared with anyone else and will be stored in such a way as to not be available to anyone else.

If I have set up passwords for you, I will delete any reference I have to these passwords and also tell you how to change your passwords as soon as you have access to your service. I do not wish to know your passwords, so I please do encourage you follow my advice and change your passwords once I have set you up and going.

GDPR: We adhere to all GDPR protocols and understand the need for privacy, and use any data with the utmost care and attention. For more information about passwords, security or sensitive data, please see below.

Your Privacy, Terms and Conditions page: I routinely start clients off with a dummy page that states about data use and privacy. It is up to you the client to keep this up to date and correct and I cannot be held responsible for the inner workings of your business. If I find out or feel you misuse people’s personal data in any shape or form, or sell to third parties, then I cannot be involved in hosting your website or continue working with you. We must both adhere to high levels of standards.


Terms & Conditions

Including payment, Freelancers and Third-Parties, security, your right to leave my services and more

Projects:  Projects will be proofed at every stage to obtain go ahead for either web development or print. Confirmation of approval to start is liable for payment and billing up to that stage.

Project payment:
We charge at the end of project. Payment must be received within 28 days of invoice date. If you require longer, please let us know.

Payment terms: Payment is accepted by cheque or BACS (bank transfer) payment in UK Pounds Sterling. Cheques can be arranged at special request.

Contract: The client’s approval for work to commence shall be deemed a contractual agreement between the client and James Vine/Limited Edition Design. If you wish or need a written formal contact, we may discuss this, but as James Vine/Limited Edition Design is a Sole Trader, we may not be the best route for you and your business, a larger more corporate organisation may be more suited to your needs. Please read “Advanced Projects” below for more information.

VAT: We do not charge VAT.

Cancellation: Should the client wish to cancel at any point during the process they shall remain liable for the work that has taken place and shall be invoiced accordingly unless circumstances out of their control render this not possible.

Delay of work: Should the project be delayed for any reason that is out of the control of James Vine/Limited Edition Design, an invoice may be raised for the work carried out so far; regardless of whether the project has been completed.

Quotations: The price quoted to the client is for the work agreed on the quotation only. A new estimate will be supplied if the project description changes once work has commenced. An estimated 60% of our projects change direction once a project is either under construction or in its final stages.

Payment: An invoice for the work completed will be sent by email and/or post upon satisfactory completion of the project and this may be before the services are published. Payment of this invoice will be due immediately and must be settled within 28 days from invoice date.

Accounts that have not been settled within 7 days of our final reminder may incur a late payment charge of 10% of the amount outstanding.

Unpaid invoices and details need to provided to the HRMC as per their request during my tax return.

Any domain names and/or hosting and email services will be suspended if payment is not received. Multiple means of contact will be tried before turning off a website (hosting/email/domain names). You cannot send/receive email or even view old emails on webmail if you do not keep up with payments.

Material: All material supplied by the client belongs to the client and that it does not breach any copyright laws. Use of pre-purchased stock images must be used in a way that adheres to the stock photo’s providers rules and terms of usage.

Intellectual Copyright: Once chosen and paid for:  100% copyright to client. You are free to do what you wish with your designs and we do not require credit.

Proofs = 100% copyright to James Vine/Limited Edition Design, unless paid for. If you do not pay, you cannot use our designs, however far through the process we got. We reserve the right to collect evidence of usage and take matters further or bill accordingly.

Third-party designers/developers are not allowed to take credit for work initially created by James Vine/Limited Edition Design. Design work taken from existing print/web projects and used on new print/web projects by third-party designers/developers requires credit to James Vine/Limited Edition Design over that of themselves.

James/Vine Limited Edition Design showcase your designs to new and existing clients. If you wish for your project to be taken from our website, please  contact me as I’m happy to keep you from our site as per your requirements.

Printing

Print quotes: we routinely obtain up to 3 quotes for your print project. We pass over the price for either the best price, quality, or turnaround times that best suits your project and needs.

We do not charge to obtain these quotes if we designed your project.

We no longer deal with nor send third-party or client designed projects to print on your behalf.

Print: We use Third-Party printers to print your project. We cannot be help responsible for outstanding payments to printers. We reserve the right, after pursuit for payment, to report this to the HRMC when submitting our tax and/or pursue legal help to help cover the charges you incurred.

Websites, Hosting, Freelancers and Maintenance and Security

Domain Name Registration & Website Hosting Information and Charges: The client shall meet all Third-Party costs arising from the registration of domain names and the configuration of any hosting, settings, domains and email outside of Limited Edition Design’s own hosting, domain and email service. We will suspend any hosting and/or domain names and/or email accounts if any due invoices are unpaid on time or misused.

We routinely do not charge for hosting and domain renewal as a thank you for hosting with us. Your service is not impacted.

You will receive many forms of contact from us should an invoice be due and a service is about to be impacted.

If you wish to cancel, you reserve the right to do so. We do not own your domain name, we simply register or help maintain it during it’s life with us – you fully own your domain name and if you wish, can look after these domain names yourself. We’d simply need to “point” the new nameservers over to our server to load the website/emails (if used).

If you host with us I sometimes update WordPress and any plugins on your behalf to make sure the server and your site is running at it’s best and most current. I do not charge additional for this service unless it deserves more time and I have discussed it with you as a possible issue.

In the event of illness or my death: In the event that I have died or illness renders me unable to help further, if I have not given you login details to your domains, then any domain name can be tracked and traced by online software. Any other web designer or host can help find the online paper trail. Chances are I have used Krystal, 20i or Heart Internet to register your domain name. If you need to gain control of the domain or hosting in the event of my death or illness, process requires you to send ID and other information like a bill or two before the domain and hosting is passed over to you – ie. your photo/business name/paperwork matches that on your website.

If illness becomes too much and I am unable to work with you further I reserve the right to forfeit any projects and I will not charge for any projects under construction – however far through we got. If this is the case and only if this is the case, you are allowed to use the designs I worked on and did not charge you for and may continue them yourself or via another designer. Illness is the only time I would allow use of designs/work without payment.

Website uptime: If you host with us and we charge you for this service, then I know we will speak about this when I give you an overview of the service, but please know we consistently keep an eye on server status for our clients. Our own website and emails are hosted on the same we provide to our clients. We use providers such as Krystal and 20i for the most reliable servers, security and reliable support and all servers have a team of technicians who also keep an eye on the service as well. I would be classed as a Reseller for this service, although I can maintain a good level of service to go that step further. No uptime can be guaranteed and I cannot provide SLAs, however, if we both agree something is wrong I will use my common sense and help fix for no extra charge, help you move hosts or anything else to make sure the service. To date, I’ve never had to do this but the option is there.

Managed VPS solutions are more expensive but they do promise better uptime and/or SLAs. Our shared hosting option is around £10 per month, whereas a Managed VPS solution may be around £120 per month.

If you are one of our clients that use Managed VPS and I am your point of call, or, “bridge” between you and the hosts, then there is a chance I do not charge and in turn own no responsibility of the day-to-day running of the server. I will simply charge to be that “bridge” and raise a support ticket when needed. I maintain the right to charge a percentage to become this “bridge” and your point of call. Please do process the hosting charge directly should you need this specifically for your records.

If you used Third-Party developers or requested access to the server yourself, and issues begin to arise, then time and cost to fix or reinstate will be discussed.

Search Engine Position or Promotion: Unless requested, we are not responsible for the client’s on-going web site promotion. We will build the website with search engine optimisation in mind by using the latest search engine friendly techniques.

Your search engine rank will change over the course of its life. For better, or worse. As everyone is fighting for the top we will not and can not be held responsible for you position/rank, but, of course, during the production and lifespan of your website, if we are still the most current creators of your website, that we aim as help and guide as best we can when we talk about the subject.

Third-Party interaction, code or text alteration or plugins can and will alter your position, for better or worse. We cannot be help responsible for external influences such Third-Party interaction (another developer), code or text alteration (by you or your team or a Third-Party designer) or plugins (such as SEO plugins that sometimes make things much worse).

You are free to purchase such advances like Google Adwords to promote your website further as they do not affect your website apart from gaining more visitors.

Website updates and maintenance: Unless requested, we are not responsible nor liable for the on-going life of your project. Updates to WordPress or code is sometimes required due to the ever-changing world of the web. A recurring maintenance charge can be discussed.

If you host with me I sometimes update WordPress and any plugins on your behalf to make sure the server and your site is running at it’s best and most current. I do not charge additional for this service unless it deserves more time and I have discussed it with you as a possible issue. I do not manage any website on a Managed VPS without charge.

Future support: The website is provided to and accepted by the client as a fully functioning, completed project. We are not responsible for future support and our liability of any loss of data, information or other, could only be limited to the value of the original project or latest invoice for work carried out. Ongoing support can be provided upon request and for an agreed fee and we choose the right not to take on any future updates for your project if it out of date or too much work for us. Future changes to the website will be invoiced at our prevailing hourly rate. James Vine/Limited Edition Design is not responsible for any loss or damage caused by the supply of digital files, printed media, CD or DVD discs. Limited Edition Design endeavour to ensure that any digital files supplied via digital or disc are virus free.

Freelance use on our part: For some web projects projects that require a skillset outside that of mine, we may discuss the use of a known freelancer with experience in the field required that we think will be best suited.

James Vine/Limited Edition Design cannot and will not be held responsible for Freelancer’s work, as they are their own entity and use of their services may outweigh our current skillset and knowledge. You are also free not to use our connections and to use Third-Party developers who have a skillset to suit your project.

You are free to liaise publicly or privately with the Freelancer for your project, as even though they may invoice for their work via James Vine/Limited Edition Design, they are their own entity and are treated as such and their work is their own. I do not need to be involved in correspondence if I have no development input to your project. Should a Freelancer and James Vine/Limited Edition Design collaborate, we will be responsible for our own portion of the work and this will be stated to each other and you, the client, in writing.

Our recommended Freelancers will have their own T&Cs, own contact means/channels and James Vine/Limited Edition Design may not be partial to information, details or other factors you are both involved in, so they have to be treated separate to that of James Vine/Limited Edition Design. Even though a ltdeditiondesign.co.uk email address can be supplied for your project, our recommended Freelancers are also free to use their own contact means and channels because they are not employed by Limited Edition Design.

Freelancers will or may need access to your hosting and/or website to carry out your request. We are not responsible for their access or times when they access.

If their work, views or attitudes impact the work or public image of James Vine/Limited Edition Design, James Vine/Limited Edition Design reserves the right to disassociate.

Due to funding or payment routes set out by you the client, if invoicing clients on behalf of Freelancers, i.e. if their charge to you is invoiced by me, even if zero design or development involved, James Vine/Limited Edition Design may discuss a small percentage with the Freelancer to include a charge to help with administration. Only by permission of the Freelancer do I include this fee. I only charge when I am invoicing and it may change or be removed on our discretion. If the freelancer invoices you directly, I do not need to include an admin fee.

You must please be invoiced directly from any Freelancer or Third-Party should you need this specifically for your records.

Third-Party use on your part: Third-Party developers you have assigned who have access to your hosting and/or website of your project on your request, will have their own T&Cs. James Vine/Limited Edition Design cannot and will not be held responsible or liable for problems or updates through their work. If their work impacts the work We have created for you, We reserve the right to remove their work from ours and report back our findings.

Access to code or root files: If you want or have access to the code, original files and made changes – this includes Developers you have welcomed on-board – we reserve the right to disassociate ourselves from your project.

Recommended Freelancers, Third-Party Developer or Suppliers: If you are dissatisfied with our recommended Suppliers or Freelancers or Third-Party companies, feel free to let us know and we’ll help to find an solution, however, as they are their own entity and must be treated as such. Their poor reputation, work, or attitudes cannot and will not be associated with James Vine/Limited Edition Design.

A Freelancer, Third-Party Developer or Supplier cannot write rules or Terms for James Vine/Limited Edition Design, or vice-versa, without clear, signed and dated legal contracts.

Suppliers: If invoicing on behalf of Suppliers, James Vine/Limited Edition Design may discuss a small percentage included in with the charge to help with administration. Only by permission of the supplier do I include this fee.

Security: Malicious spy ware, bots, viruses and website hacking are facts of life on today’s Internet. It is unlikely that these will affect your website, and we will endeavour to protect it from this as much as we can and help get it back online during the initial project creation.

James Vine/Limited Edition Design or any of our Freelancers cannot and will not be held responsible for data breaches, hacks or other misuse pertaining to your website. We will endeavour to make your initial project as robust and future proof as possible to help guard against these attacks. In the case of data breaches, attacks or hacks, we will help to get you back on track as best as possible or help guide, if indeed possible, with analysis of the problem and how to fix it. As with updates, security or the ever-changing web-world, we cannot and will not assure your website is protected 100% from such attacks.

Our charges may be much more reasonable than larger design or development organisations, and our skillset also outweigh theirs, but at the end of the day James Vine/Limited Edition Design is only a Sole Trader and time is limited, leave or breaks required, or illness or existing illness may pose an issue.

Continuing and Functioning without online projects online or active: Due to hacks, attacks and other volatile and unpredictable behaviour on the web, it is imperative that you, your business or your team can function without the online project we helped create. We cannot help run your business, but we more than strongly recommend having offline resources as a back-up available and not to rely on online only solutions, ie. if the online version of your setup fails, like an online shop or data collection database, you need to be able to be fully functional until the online version is reinstated or another route has been chosen. I have learnt that even shops like Amazon are offline sometime but they have a team of people to help get it back online.

Loss: Limited Edition Design is not liable for any consequential loss to either data nor funds due to the website being offline for any reason. There are occasions when maintenance or upgrade work is required to be carried out on the server where the client’s website is stored. If this is the case we will notify the client if we get timely notification, however, downtime is usually caused by an issue that either needs rectifying or guiding through a process. Downtime is usually just a few hours and is extremely unlikely and also carried out in the small hours, although I have seen it in the past last as long as 5 days. Our liability could only be limited to the initial value of the project or latest invoice for work or hosting charge for that month. Old unattended websites forfeit any liability due to the fact we were not liable for any issues outside of our control. Please see Future Support above for more.
